Terms of Service

These Terms of Service ("Terms") govern your use of the Quality Comp Tech website at qualitycomptech.com and any IT services provided by Quality Comp Tech ("we," "us," or "our"). By accessing our website or engaging our services, you agree to these Terms.

Services Overview

Quality Comp Tech provides project-based IT services to small businesses in the Durham, Research Triangle Park, and Chapel Hill, North Carolina area. Our services include but are not limited to network infrastructure buildout, backup and disaster recovery setup, security audits, workstation deployment, security camera system setup, and server infrastructure setup.

Consultations

We offer free initial consultations to assess your needs and determine the appropriate scope of work. Consultations are scheduled through our website using Cal.com and may be conducted by phone, video, or on-site. A consultation does not create an obligation for either party to proceed with services.

Scope of Work and Pricing

All service engagements are defined by a written scope of work provided to you after the initial consultation. The scope of work will describe the specific services to be performed, the deliverables you will receive, the flat-rate price or pricing structure, and the estimated timeline for completion. Work will not begin until you have agreed to the scope of work and pricing in writing (which may include email confirmation). Any changes to the scope of work after agreement may result in adjusted pricing, which will be communicated and agreed upon before additional work is performed.

Payment

Payment terms will be specified in the scope of work for each engagement. We may require a deposit before beginning work, with the balance due upon completion and delivery of all deliverables. Accepted payment methods will be communicated at the time of engagement. All prices are quoted in U.S. dollars.

Documentation and Deliverables

Every service engagement includes a professional documentation handoff as described in the scope of work. Upon delivery, you own the documentation and any configurations created specifically for your engagement. Documentation is provided for your internal use and may not be resold or redistributed commercially.

30-Day Support Window

Following completion and delivery of a project, we provide a 30-day support window at no additional cost. This support covers questions about the completed work and minor adjustments directly related to the original scope of work. Requests that fall outside the original scope, or requests made after the 30-day window, will be treated as new engagements and quoted separately.

Client Responsibilities

To enable us to perform our services effectively, you agree to provide reasonable access to your facilities, systems, and equipment as needed for the engagement, designate a point of contact authorized to make decisions regarding the project, provide accurate and complete information about your current systems and requirements, and back up your data prior to any service engagement (while we take precautions, we are not responsible for pre-existing data loss).

Limitation of Liability

Our services are provided on a best-effort basis. While we strive to deliver high-quality work, we do not guarantee that our services will resolve all issues or prevent all future problems.

To the maximum extent permitted by law, Quality Comp Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or business interruption, arising out of or related to our services. Our total liability for any claim arising from a service engagement shall not exceed the total amount paid by you for that specific engagement.

Intellectual Property

Any tools, scripts, templates, or methodologies we use that were developed independently by Quality Comp Tech remain our intellectual property. We grant you a non-exclusive, non-transferable license to use any such tools delivered as part of your project documentation for your internal business purposes.

Confidentiality

We treat all client information, including network configurations, credentials, and business data, as confidential. We will not disclose your information to third parties except as required by law or with your written consent. We expect the same confidentiality regarding our proprietary tools, pricing, and methodologies.

Indemnification

You agree to indemnify and hold harmless Quality Comp Tech from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your misuse of deliverables or documentation provided by us, your breach of these Terms, or any third-party claims related to your systems or data that are not caused by our negligence.

Termination

Either party may terminate a service engagement with written notice. If you terminate an engagement after work has begun, you are responsible for payment for all work completed up to the date of termination. If we terminate an engagement, we will deliver all completed work and documentation to you and refund any payment for work not yet performed.

Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved in the courts of Durham County, North Carolina.

Modifications

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our website after changes are posted constitutes acceptance of the revised Terms. Changes to these Terms do not affect the terms of any active scope of work already agreed upon.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
